Business Organizations, Transactions and Financing - Formation, acquisition, financing and liquidation of corporations, limited liability companies, partnerships and other business and non-taxable entities. Counseling regarding tax strategies, organizational governance, business transactions, financing, licensing proceedings, economic and utility regulation. Regulation of banking and lending institutions and serving as both lender’s and borrower’s counsel.

Creditor's Rights and Bankruptcy - Representation for creditors, debtors committee and trustees in reorganization, liquidation and adversary proceedings in U.S. Bankruptcy Court. The firm emphasizes the integration of corporate reorganization with management of taxation, mineral development, environmental and other complex liabilities for innovative Bankruptcy strategies.  The Firm also represents parties in "out of court" workout and reorganizations as well as in state court receiverships.

Natural Resources, Mineral Development & Energy - Transactions and negotiations related to coal, oil & gas, coal bed methane, aggregate and other minerals, water rights and timber properties including financing, mining and drilling agreements. Natural gas regulatory proceedings before the Federal Energy Regulatory Commission and W.Va. Public Service Commission.

Environmental Regulation - Regulatory compliance and defense in enforcement actions related to mining, oil & gas, water quality,  land use,  and  state and federal regulatory programs.

Real Estate & Probate - Transactions related to commercial and residential properties and development. Representation includes construction, financing, foreclosures, title insurance, subdivision, land use and zoning. Probate and administration of estates and estate planning.

Civil Litigation - Trial and appellate litigation in all state and federal courts within West Virginia in the substantive areas described above.  The Firm has also developed an expertise in the mediation of disputes through alternative dispute resolution mechanisms, including mediation of complex business issues and litigation.

Legislative and Administrative Practice - Representation in public policy and legislative issues related to natural resources development, energy, environmental regulation and taxation before the West Virginia Legislature, Congress and federal and state agencies.

Constitutional Law - This firm is dedicated to and has long engaged in litigation with a goal of protecting the rights of citizens insured by the Bill of Rights (First Ten Amendments) of the United States Constitution and Article Three of the West Virginia Constitution. These safeguards provide protection from governmental interference with these guaranteed rights. Employment Law - The firm has a long history of representing clients in employment related cases from civil rights to wrongful discharges.
